1. The parties and scope
These terms govern access to Lease Platform, operated by CN Holdings Ltd, P.O. Box 28995-00100, Nairobi, Kenya. Contact properties@cnholdings.co.ke about the platform or this agreement.
The agreement concerns use of property-management software. It is not a tenancy agreement, a landlord's appointment of an agent, an eviction notice, a guarantee of rental income or an agreement that the operator holds a tenant's deposit. Rental relationships remain governed by the relevant lease, lawful instructions and applicable law.
The account holder agrees personally to the obligations relevant to their use. If registering for an organisation or landlord, the person signing confirms they have authority to act for that organisation. A company name alone does not establish that authority.
2. Eligibility and registration
You must be at least 18 and have capacity and authority to enter this agreement. Give accurate registration details, use an email address you control and protect your credentials. Do not impersonate another person or create an account for an organisation without authority.
Tenant and staff access to a particular landlord's records requires an explicit invitation, membership or authorised link. Registration or payment does not entitle you to records belonging to another landlord or tenant. Existing users must use their own account rather than attempting to take over another person's email identity.
You are responsible for users you authorise, appropriate role assignment, timely removal of access and reporting suspected misuse. Do not share passwords among unrelated users or allow unauthorised access through your account.
3. Electronic agreement
Before registration is completed, you must be able to review the Terms of Use and Privacy Statement. The acceptance controls must start unchecked. Your typed full name and deliberate acceptance record your intention to agree to the version presented. A drawn signature is not required for these platform terms. Any signature requirements for a separate tenancy agreement remain independent.
The platform retains the applicable document version, acceptance date/time and appropriate evidence of acceptance. Privacy acknowledgement confirms that the notice was provided; it is not consent to unrelated marketing or a waiver of data-protection rights. Keep a copy for your records.
Accepting these platform terms does not sign a tenancy agreement or accept a landlord's deductions, notice decision or final settlement. Those are separate records and review/signing processes. We do not describe this process as a certified or advanced electronic-signature service.
4. Platform services and account separation
The service can support properties and units, tenant/tenancy records, configured rent and utility billing, recorded payments and receipts, statements, deposits, notices, settlements, repairs, agreements, reminders and reports. Availability depends on the release, enabled features, the customer's settings and required third-party services.
Each landlord's records remain separate. A person renting multiple units or using one login with several landlords receives only the access explicitly granted to that person. Owners, managers and viewers have different permissions. A membership or subscription is not an ownership claim over another customer's records.
The customer remains responsible for the accuracy and lawful basis of information entered, meter readings, billing dates, taxes, notices, deductions, penalties and decisions. Review generated outputs. Automation follows configured rules; it does not decide whether a charge, notice, signature or deduction is legally enforceable.
5. Subscription pricing and units
The standard advertised price is Sh.100 (KES) per unit per month, or US$1 per unit per month for USD billing. These are separate price options, not a live currency conversion. A unit means a separately managed rental space; the billable quantity or purchased allowance must be stated in the order before payment.
The checkout/order must identify the currency, unit quantity, billing period, total and any applicable taxes or separately agreed charges. Do not assume an empty unit is free or that the number of tenants is the unit quantity: the selected unit allowance and order determine the subscription. The same tenant renting two units does not turn those units into one unit.
Only the purchasing customer is responsible for quoted platform-subscription charges. A tenant or staff invitation does not create a payment order or make the invitee personally responsible for the landlord account's subscription.
A bundle applies only if its unit limit, amount, period and other terms have been expressly agreed. Enquiring about a bundle does not create one. Price changes apply prospectively with notice before the affected charged period; we do not silently change a paid order's amount. Additional units or plan changes require a clear quote and approval before an additional charge.
6. Checkout, renewal and payment providers
Orders explicitly labelled Sandbox or Test, and their simulated renewal periods, are test records only. They do not collect real money, extend an actual subscription or create tenant receipts. Each test payment requires explicit approval; no stored authorization is charged automatically.
The selected platform-subscription routes are Paystack for KES and PayPal for USD, subject to merchant approval, integration configuration and availability. The payer is also subject to the selected provider's applicable terms and privacy information. Provider-account credentials and payment authentication are handled in the provider's checkout, not supplied to our support staff.
An approval screen, redirect, screenshot or unverified callback is not proof of a completed payment. Subscription activation or renewal requires server-side confirmation matching the order, currency, amount and provider reference. A pending, failed, cancelled or reversed payment is not treated as a successful new payment. Duplicate notifications must not create duplicate subscription credits.
Subscriptions are renewed manually each month. Each renewal requires you to review and approve a new payment for the stated monthly period; there are no automatic recurring deductions. The billing period and renewal date must be disclosed before checkout. Manual renewal does not authorise us to debit a saved payment method. Any provider conversion or funding-source charges must be reviewed in the provider's checkout.
Platform-subscription charges are separate from tenant rent, utilities, deposits and refunds. This checkout arrangement does not mean Lease Platform collects or safeguards a landlord's rent or tenant deposits, and must not be used to relabel subscription receipts as tenant rent receipts.
7. Billing problems, refunds and cancellation
Report an incorrect, duplicate, unauthorised or apparently failed charge promptly to properties@cnholdings.co.ke, with the order/reference and a description, not card details or passwords. We will investigate against provider and order records. Approved refunds should use the original payment route where practicable and remain subject to provider processing time.
Any refund, cancellation or cooling-off rights required by applicable law remain available. An order or expressly agreed offer may give additional rights. There is no blanket no-refund rule in these terms, and no automatic prorated refund is promised unless an order or applicable law provides one. Do not make another payment solely because a confirmation is delayed without first checking the original reference.
You may request closure or cancellation of future renewal through the provided account process or by contacting us. Cancelling renewal does not silently erase posted rental or financial history, and it does not itself settle balances between a landlord and tenant. We will explain access and export arrangements, outstanding obligations and the applicable retention process. Any subscription expiry or restriction must not be represented as a lawful eviction or cancellation of a tenant's lease.
8. Customer responsibilities for personal data
A landlord or manager who determines the purpose of tenant-record processing is responsible for appropriate notices, lawful collection, accuracy, authority to upload/import records and proper handling of rights requests. Do not upload personal information simply because a field or CSV template allows it. Avoid unnecessary sensitive data.
For customer-controlled rental records, you instruct us to process information to provide the agreed service. We must limit processing and access to that purpose, apply appropriate confidentiality/security arrangements, use necessary service providers under appropriate protections, assist with relevant rights/security obligations and support an appropriate return/export/deletion process subject to lawful retention. A detailed data-processing arrangement may be required for your organisation before live use.
The Privacy Statement explains the different roles for operator-controlled account/subscription data and customer-controlled rental data. It does not allow you or us to sell another person's records, publish private tenancies or disclose information to unrelated landlords.
9. Acceptable use
Do not use the service to commit fraud, harass or discriminate unlawfully, send unauthorised marketing, upload illegal material, infringe rights, bypass permissions, scrape unrelated records, attack the service or interfere with another account. Do not forge signatures, receipts, meter readings, payments or notice decisions.
Only issue invitations and communications you are authorised to send. Keep private invitation and document links confidential. Use supported correction and reversal workflows; do not attempt to remove audit history or disguise a reversed transaction as current.
10. Documents, notices and tenancy decisions
A recorded payment means staff recorded a payment received; it is not independent confirmation from a bank unless the relevant integration expressly provides that confirmation. A deposit receipt is not rent income or proof that the original amount is still held. Refunds and settlement amounts must be distinguished from actual funds returned.
A portal vacating notice or repair request follows the landlord's configured terms and review process. Sending an email or marking a reminder sent is not a guarantee of delivery, receipt or legally effective service. Landlords must use any additional notice method required by their lease or law.
Tenancy agreements and their signatures are separate from this platform agreement. Review identity, authority, document content and any execution requirements relevant to the actual transaction. The platform does not provide a legal opinion on an agreement's enforceability.
11. Security, availability and changes
We will use reasonable care and proportionate safeguards to operate the service. Software, hosting, connectivity and payment/email providers can fail or require maintenance. We do not guarantee uninterrupted access, successful rent collection, elimination of arrears or any business outcome.
Keep your devices and mailbox secure, review permissions, download appropriate records and report incidents. Operator backups support recovery; they are not a promise that every action can be undone or that authorised users may download a backup of all landlords. Recovery may involve a data-loss window that must be assessed from the available backup.
We may change features and improve security. We will provide appropriate notice of material changes affecting the agreement or paid service, and request a new acceptance where required. A new version does not rewrite the evidence of a prior acceptance or authorise undisclosed charges.
12. Suspension, termination and records
We may restrict access where reasonably necessary to address a serious security incident, unlawful use, lack of authority or an unresolved contractual payment obligation, subject to applicable law and appropriate notice where practicable. A landlord may independently suspend a membership or tenant link within its own account. Neither action automatically changes another landlord's independent grant.
We will handle service termination, authorised export requests and retention consistently with the Privacy Statement, applicable obligations and the rights of other people. The platform should preserve reviewable financial and tenancy history rather than deleting it simply to close an account. A paid or clearly labelled evaluation period has an explicit end date. There is a seven-day grace period, followed by read-only access and owner export through day 90 after that end date. During read-only access, new financial transactions, automated billing, routine rental reminders and new tenant repair requests, vacating notices and agreement signatures are unavailable. Existing documents remain readable. Use the landlord’s direct contact channels for urgent repairs or legally required notices. Account recovery remains available.
We send account renewal reminders seven days and one day before expiry and provide access/closure warnings when email delivery is configured. Delivery is not guaranteed; the stated end date controls. After day 90, portal access to that landlord’s records closes. Operational deletion is scheduled for review by day 120, subject to legal holds and required retention. Needed financial and agreement evidence is archived separately with a six-year disposal review. Expiry does not change rent balances, leases or independent access to another landlord.
A manually renewed period starts at the current period end if renewed early, or at approval time if that period has already ended. It lasts one calendar month; where the corresponding day does not exist, the period ends on that month’s last day. There are no automatic deductions or surprise back-charges for inactive months. Missed rent invoices from a suspended automation period require staff review before explicit posting; renewal does not automatically generate those historic months.
13. Responsibility, disputes and applicable law
Each party remains responsible for its own conduct and obligations under applicable law. Nothing in these terms excludes liability, remedies or consumer/data-protection rights that cannot lawfully be excluded. These terms introduce no unlimited indemnity, mandatory arbitration requirement or contractual liability cap.
First contact properties@cnholdings.co.ke with a clear description of a service or billing dispute. The parties should attempt a good-faith resolution without restricting urgent remedies, regulatory complaints or access to a competent court. These terms are governed by Kenya’s law, subject to any mandatory law and rights applicable to the user.
14. Contact and agreement record
Contact CN Holdings Ltd at P.O. Box 28995-00100, Nairobi, Kenya, or properties@cnholdings.co.ke. Keep the published version/date and your acceptance record. If you do not have authority or do not agree to the published terms, do not complete the registration acceptance process.
Your registration acceptance identifies the version presented to you. Signing platform terms does not sign a tenancy agreement.
